Análisis de los efectos de la Doctrina Ultra Vires en el Derecho Societario Ecuatoriano

Resumen
Durante la última década la legislación societaria ha sido reformada en
algunas oportunidades, en lo referente al objetivo social y su incidencia en la
doctrina Ultra Vires, que aparece desde un objeto social único hasta aquel que
incluya una o varias actividades. Pese a las modificaciones que ha
experimentado la Ley de Compañías, se mantiene la rigidez en los actos o
contratos que extralimiten su objeto social, lo cual genera poca eficiencia a
todo nivel, efectos negativos como el tiempo y costos en caso de requerirse
modificaciones al objeto social de la compañía, un impacto en el capital social
en caso de separación por parte de accionistas, entre otros.
Estos factores explican la necesidad de reformar parcialmente la Ley de
Compañías, contemplando instrumentos que permitan adaptar las sociedades
a las nuevas dinámicas y retos económicos para promover la competitividad
de las empresas nacionales.
